LabelMojo

Terms

Last updated

These terms are set by Firelinkx, which builds and runs LabelMojo. Part A applies to everyone who uses labelmojo.com or the demo portal. Part B applies to label printing companies that subscribe to LabelMojo, together with their signed agreement. Part C covers changes and contact.

How we handle personal information is described in the Privacy Policy.

Part A. Website terms of use

1. Using the website and demo portal

By using labelmojo.com or demo.labelmojo.com you accept Part A. You may use them to learn about LabelMojo, try the demo portal and contact us. You must not:

  • use them for anything unlawful
  • interfere with their operation, or attempt to probe, test or bypass their security without our written permission
  • upload malware or content you do not have the right to share
  • enter real personal information or confidential material in the demo portal

The demo portal contains fictional sample data, is shared by all visitors using the demo accounts, and may be reset or changed at any time.

2. Content and ownership

Firelinkx owns, or has permission to use, the website’s text, screenshots, design, and the LabelMojo name and logo. You may view, print and share pages and guides for your own business use, including sending guides to your customers, as long as LabelMojo remains credited as the source. Any other copying, adaptation or commercial use requires our written permission.

The website links to sites run by others. We do not control those sites and are not responsible for their content or privacy practices.

4. Information on the website

Website content is general information about LabelMojo and is provided “as is”, without warranties of any kind, to the extent the law allows. Prices and descriptions on the website are not an offer. The plan, price, scope and modules that apply to a printer are those in its signed agreement.

5. Liability for website use

The website and demo portal are free to use. To the extent the law allows, Firelinkx is not liable for indirect or consequential loss arising from their use or from reliance on their content. Nothing in Part A limits liability that the law does not allow to be limited.

Part B. LabelMojo subscription terms

6. How these terms apply

Part B applies when a label printing company (“you”) signs an order or subscription agreement for LabelMojo with Firelinkx. The signed agreement, any written setup quote and Part B form one contract. If they conflict, the signed agreement takes precedence, then the setup quote, then Part B.

The contracting entity is Firelinkx, a business registered in Guyana, for customers in Guyana, and Firelinkx Inc., a Delaware corporation, for customers outside Guyana. The signed agreement names the entity, and “Firelinkx”, “we” and “us” in Part B mean that entity.

The person who signs the agreement confirms that they have authority to bind the company.

7. Plans, users and your deployment

Each printer runs its own LabelMojo deployment, with its own database and file storage. The launch plans are:

  • Starter: US$149 per month, for up to 3 staff users.
  • Pro: US$299 per month, for unlimited staff users, with support requests handled ahead of Starter requests.

Both plans include unlimited customer portal users. A staff user is a named person on your team with access to the back office, and staff sign-ins may not be shared between people.

The features and modules included are those described in your signed agreement. Modules shown on the LabelMojo roadmap are included only once released and named in your agreement. You can change plan by agreement with us, and the new rate applies from the next billing month.

8. Setup

We set up your deployment under a fixed written quote, prepared after reviewing your data and requirements. The quote sets out the scope, including import sources and records, branding, configuration, training sessions and the acceptance checks.

  • You pay 50% of the setup fee to schedule the work, and 50% after the agreed acceptance checks are complete, before live rollout.
  • Data cleanup, custom integrations, new development and additional training are outside setup and are quoted separately.
  • You provide the data, files, decisions and access the work needs, on the dates agreed. If delays on your side hold up the work, we agree a new schedule with you.

9. Fees, billing and taxes

  • The subscription is billed monthly in advance, starting when your live service is available.
  • Invoices are payable within 14 days of the invoice date, unless your agreement sets a different due date.
  • Prices are in US dollars. Taxes and card processing fees are shown on the quote where they apply and are payable in addition to the listed price.
  • Fees paid are non-refundable, except where Part B or your agreement provides for a refund.
  • Your agreement states the included storage allowance. If you need more, we agree the expansion and its price with you before any additional charge applies.
  • Work outside the subscription and setup, including custom integrations, new development, additional training, configuration projects and migration assistance, is quoted and billed separately.

10. Launch pricing and price changes

For agreements signed by 31 October 2026, the launch subscription rate is fixed for 12 months from the subscription start date.

After that, we may change subscription rates at most once in any 12-month period, with at least 60 days’ written notice. You can cancel before a new rate takes effect, and your current rate applies until the cancellation takes effect.

11. Term, renewal and cancellation

  • There is no annual commitment. The subscription renews each month until it is cancelled.
  • You may cancel by written notice, including email, before your next renewal date. The subscription then ends at the end of the current paid month, and access continues until then.
  • We may end the subscription for any reason by giving at least 90 days’ written notice, and we refund any fees prepaid for the period after it ends.
  • Either party may end the agreement by written notice if the other materially breaches it and does not remedy the breach within 30 days of written notice, or if the other becomes insolvent. If you end it for our breach, we refund any fees prepaid for the period after it ends.

When the subscription ends, access ends and fees due up to the end date remain payable. Section 14, and the sections on confidentiality, intellectual property, warranties, liability, indemnities, governing law and general terms, continue to apply.

12. Suspension

  • If an invoice is more than 14 days overdue, we may suspend access after giving at least 7 days’ written notice. We restore access promptly once the overdue amount is paid.
  • We may suspend access immediately, in whole or in part, if use of the service breaches section 15, threatens the security or operation of LabelMojo or other deployments, or if the law requires it. We tell you as soon as practicable and limit the suspension to what the situation requires.
  • Suspension does not delete your data. Subscription fees continue to apply during a suspension.

13. Your data

Your data is the information you and your users put into your deployment, including your customers’ details, quotes, artwork, proofs, approvals, jobs, invoices, payment records and delivery records. You own your data.

You give Firelinkx a non-exclusive licence to host, copy, process, transmit and display your data only as needed to provide, secure, back up and support the service, and as the law requires.

For personal information in your data, you are the controller and Firelinkx is your processor. We process it only on your documented instructions, which are the agreement and your use of the service, and as described in the Privacy Policy. Firelinkx staff access your data only to provide setup, support and maintenance, or when the law requires it. Your agreement may include a data processing addendum with further terms.

You are responsible for having the right to upload the artwork and content in your deployment, and for giving your customers any privacy notices the law requires.

We may use technical information about how the service runs, such as performance measurements, error reports and usage counts, to operate and improve LabelMojo. This information does not include the content of your data and does not identify you, your users or your customers to anyone else.

14. Export and deletion

Customer-data and file export is included, with formats and scope specified in your agreement. You may request an export at any time during your subscription or within 30 days after service ends. Migration assistance to another system is scoped and quoted separately.

After the 30-day export period, we delete your data from your deployment as your agreement states. Backup copies are removed as backups expire under the retention schedule in your agreement. We may keep records that the law requires us to retain.

15. Acceptable use and accounts

You are responsible for your staff users, for the customer portal users you invite, and for keeping sign-in details secure. Tell us promptly if you suspect unauthorised access. You must not, and must not allow others to:

  • use LabelMojo for anything unlawful, or to store or send content that infringes the rights of others
  • upload malware, or attempt to probe, break or bypass the security of LabelMojo or any deployment
  • send spam or unsolicited bulk email through LabelMojo notifications
  • resell, sublicense or provide LabelMojo to third parties as a service, other than giving your customers portal access
  • copy, reverse engineer or decompile the software, except where the law allows this despite this restriction
  • use the service in a way that places an unreasonable load on its infrastructure

16. Security, availability and maintenance

We use commercially reasonable technical and organisational measures to protect the service and your data, including a separate deployment for each printer, encrypted connections, access limited to staff who need it, and regular backups.

Any availability or service level commitment is set out in your agreement. Part B does not include one.

We carry out planned maintenance with advance notice, scheduled outside your usual business hours where practicable. Urgent security fixes may be applied without notice.

If a security incident affects your data, we notify you without undue delay and give you the information you reasonably need to meet your own obligations.

17. Support

Support covers help with existing functionality and investigation of defects, and updates and fixes to LabelMojo are included in the subscription. Both plans use the same support window, specified in your agreement. Pro requests are handled ahead of Starter requests, and service-wide outages receive urgent attention on both plans.

Additional training, configuration projects and development are scoped separately. Unless your agreement says otherwise, support does not include 24/7 coverage or guaranteed resolution times.

18. Confidentiality

Each party keeps the other’s confidential information confidential and uses it only for the agreement. Confidential information includes your data, the pricing and terms of the agreement, and non-public information about LabelMojo. It does not include information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from someone else.

A party may share confidential information with its staff, advisers and service providers who need it and are bound by confidentiality, and where the law requires disclosure, giving notice where lawful. These duties last for the term of the agreement and 3 years after it ends, and for your data and trade secrets for as long as they remain confidential.

19. Intellectual property

  • Firelinkx owns LabelMojo, including the software, its design, the deployment tooling, documentation and improvements, including improvements made during setup or at your request unless your agreement says otherwise.
  • During your subscription, you and your users may use LabelMojo for your business. No other rights are granted.
  • The subscription does not include transfer of the application, the deployment tooling or a self-hosting licence.
  • You own your data, logo and branding, and allow us to use them in your deployment to provide the service.
  • If you send us suggestions or feedback, we may use them without restriction or obligation to you.

20. Third-party services

LabelMojo runs on third-party services, including cloud hosting, content delivery and security (Cloudflare) and email delivery (Resend). We remain responsible for the service we provide under the agreement.

If you enable online card payment, the payment provider’s terms apply between you and that provider, and the provider handles card details. We are not responsible for services you choose to connect, or for email that a recipient’s mail system rejects or filters.

21. Warranties and disclaimers

Firelinkx warrants that the service will perform materially as described in your agreement, and that setup work will be carried out with reasonable skill and care. If it does not, tell us in writing. We will correct the problem within a reasonable time or, if we cannot, either party may end the affected service and we refund fees prepaid for the period after it ends. This is your sole remedy for breach of this warranty.

LabelMojo records quotes, proofs, approvals and delivery signatures. You and your customers remain responsible for checking artwork, label content, quantities and regulatory requirements before printing.

Except as stated in Part B and your agreement, and to the extent the law allows, the service is provided without other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.

22. Limitation of liability

  • Neither party is liable for indirect, special or consequential loss, or for loss of profits, revenue, business or goodwill, arising out of or relating to the agreement, even if that loss was foreseeable.
  • Each party’s total liability arising out of or relating to the agreement is limited to the fees you paid for LabelMojo in the 12 months before the event giving rise to the claim.
  • These limits do not apply to your obligation to pay fees, or to liability that the law does not allow to be limited or excluded, such as liability for fraud, or for death or personal injury caused by negligence.

23. Indemnities

You will defend Firelinkx against any third-party claim arising from your data, including artwork and content you or your users upload, or from use of the service in breach of section 15, and pay the damages and costs finally awarded or agreed in settlement.

Firelinkx will defend you against any third-party claim that the LabelMojo software, as we provide it, infringes that party’s intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement. If such a claim is made or likely, we may modify the software so that it does not infringe, obtain the right for you to keep using it, or end the subscription and refund fees prepaid for the period after it ends. This does not cover claims caused by your data, by changes made by anyone other than us, or by combining LabelMojo with products we did not provide.

The party claiming protection must notify the other promptly in writing, let it control the defence and any settlement, and give reasonable help at the defending party’s expense. A settlement that admits fault by, or imposes obligations on, the protected party needs that party’s consent.

24. Governing law and disputes

Unless your signed agreement says otherwise:

  • Agreements with Firelinkx Inc. are governed by the laws of the State of Delaware, and the state and federal courts located in Delaware have exclusive jurisdiction.
  • Agreements with Firelinkx in Guyana are governed by the laws of Guyana, and the courts of Guyana have exclusive jurisdiction.

Part A is governed by the same law, according to the Firelinkx entity for your location.

Before starting court proceedings, the parties first try to resolve a dispute through written notice and discussion between senior representatives for 30 days. Either party may still apply to a court for urgent relief to protect its rights, confidential information or intellectual property.

25. General

  • Notices under the agreement are given in writing by email, to the contacts named in the agreement or, for Firelinkx, to [email protected].
  • Neither party may transfer the agreement without the other’s written consent, which will not be unreasonably withheld, except to a successor in a merger, acquisition or sale of the business the agreement relates to.
  • Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, widespread internet or power failures, or government action. This does not excuse payment obligations.
  • The parties are independent contractors.
  • The signed agreement, any setup quote and these terms are the entire agreement about LabelMojo and replace earlier proposals and discussions.
  • If any provision is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.

Part C. Changes and contact

26. Changes to these terms

We may update Part A at any time, and changes apply from the date shown at the top of this page.

For material changes to Part B, we give subscribing printers at least 30 days’ notice by email before the change applies to them. If you do not accept a material change, you may cancel before it takes effect, and the earlier terms apply until your cancellation takes effect. Price changes follow section 10. Changes to these terms do not override your signed agreement.

27. Contact

Questions about these terms: [email protected].
